[Publib] advisory board member issue

One of my board members recently had a stroke. She's now home after a month 
in rehab, but is paralyzed on one side, has speech difficulties, etc., with 
months more of at-home rehab ahead. Her mind is still active, but it will 
be some time before she's ready to be "out and about" to attend meetings again.

We have small board, officially 8 members looking for a 9th, but another 
member also has health issues and doesn't always make it to meetings. We 
have in our rules that three missed meetings can be grounds to be removed 
from the board, but in one case it's thought her health will improve in a 
few months, so we're not looking to remove her at this point. However, it 
does affect my attempts at getting a quorum when two members absolutely 
cannot attend for a while.

I'm wondering if anyone has faced this issue. I'm considering asking the 
board if the second member can be changed to an "honorary" board member, 
able to attend meetings if she wants, yet not required for a quorum because 
it's a non-voting position. It's a small town, so no one "wants to offend" 
by asking someone no longer active to officially step down, which has led 
to a lot of committees in the area becoming stagnant and unable to function 
properly. I don't want this to happen with our board.

Any input would be appreciated.
